01 · About this practice

A business contract is the most common touchpoint between a company and its lawyers. The client needs a contract that not only complies with the law but aligns with their business model, risk appetite, and capacity. That's why every review here starts with a brief conversation about what the company sells, to whom, on what terms, and where the real risks lie.

The practice is led by David Němeček — 12+ years at international firms, where he led contracting projects for multinational corporations, Czech developers, and growing tech companies. He drafts T&Cs for e-commerce and marketplaces, master agreements for distributors, B2B purchase agreements, NDAs for investment talks, and service agreements for IT vendors.

On more complex B2B projects — where the contract intersects with corporate structure, transactions, or international documentation — Marek Poloni joins the work. We have a proven approach in which David holds the main client relationship and Marek steps in on specific topics (M&A entry points, international structures, investor documents).

We use AI tools for parallel comparison of dozens of contract variants and precedents. This lets us quickly flag clauses that deviate from market standard during review and offer the client a structured counter-proposal. The decision is always made by an attorney — AI is acceleration, not a replacement.
